Between 31/12/2006 and 17/09/2007, the group structure underwent various changes:
1) Various entities have been created:
• Arpadis Manage SA
• Arpadis Chemicals Germany GmbH
• Arpadis Israel Ltd
• The branch of Arpadis France SAS in Staint- Rémy-de-Provence
• Polylink Logistics Ltd in China
2) Certain participating interests have been incorporated into the group by means of contributions in kind:
• 100% of Arpadis Immo NV
• 40% of Maskem Europe SA
• 50% of Arpadis Custom Processing SA
3) One subsidiary has changed its name and others have re-located their registered offices:
• DPS-Group NV is now called Arpadis Group SA
• Schoonjans SA is now called Arpadis Coatings Services SA
• Arpadis Immo SA and Arpadis Group SA are now located in Manage
Shareholder structure:
Before the Public Offering, the shareholder structure of the central entity was as follows:
• L.A. Investments NV (74.60%), this is an investment company belonging to Laurent Abergel
and of which he is the permanent representative.
• Laurent Abergel (16.58%)
• Xavier Carré (8.82%)
The Arpadis Group no longer holds all the shares in its subsidiaries. The minority shareholders are in each case the local managers of the subsidiaries who therefore have a direct interest in their future success. |
